BY INDICATING YOUR ACCEPTANCE OF THESE TERMS OF USE CONTAINED IN THIS AGREEMENT, YOU ("The Customer") ACKNOWLEDGE AND AGREE TO BE BOUND BY THE PROVISIONS OF THIS AGREEMENT FOR THE USE OF THE SERVICES AND WEBSITE PROVIDED BY LEADS101 INC.. IF CUSTOMER IS NOT WILLING TO BE BOUND BY THE TERMS OF USE OF THIS AGREEMENT, OR IF THE CUSTUMER IS NOT OF AGE, OR IS OTHERWISE UNABLE BY LAW TO BE A PARTY TO THIS AGREEMENT, THE CUSTOMER SHOULD PROMPTLY EXIT FROM THIS WEB PAGE AND WEB SITE. LEADS101 INC. RESERVES THE RIGHT TO DISCONTINUE SERVICES IN THE EVENT CUSTOMER DOES NOT OTHERWISE COMPLY WITH THE TERMS OF USE CONTAINED HEREIN.

1. LIMITATION OF LIABILITY

  • In no event shall Leads101 Inc. be liable to Customer or any third party for special, indirect, incidental or consequential damages whether arising under contract, warranty, or tort (including negligence or strict liability) or any other theory of liability. Leads101 Inc.'s liability for damages, regardless of the form of the action. The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this Section will survive and apply even if any limited remedy specified in this Agreement is found to have failed of its essential purpose.

2. WARRANTY DISCLAIMER

  • Leads101 Inc. makes no warranties, express or implied, including but not limited to the implied warranties of merchant ability for a particular purpose and any similar warranty whether said warranty arises under provisions of any law of the United States or any state thereof. Leads101 Inc. makes no representations or warranties that the services are free of rightful claims of any third party for infringement of proprietary rights. The entire risk associated with the use of the Leads101.com Website and Leads101 Inc. Services shall be become solely by the user. Leads101 Inc. does not warrant or make and representation that Leads101.com will operate error-free or uninterrupted, that defect or issues will be corrected, that Leads101.com and its services and server will be free of viruses and/or other harmful components. Leads101 Inc. does not warrant or make any representations regarding availability, accuracy, reliability or completeness of any material of any kind contained within Leads101.com website for any purpose including, products, services, software, information, text and graphic content.

  • Leads101 Inc. makes no warranty that the Services will meet customers requirements, or that the Services will be uninterrupted, timely, secure, error free or that any defects in the Services will be corrected.
  • Leads101 Inc. does not make any warranty pertaining to any goods or services purchased, obtained, secured or acquired through the Services or any transaction entered into through the service.
  • Leads101 Inc. does not warrant the accuracy or reliability of the results obtained through use of the services or any data or information downloaded or otherwise obtained or acquired through the use of the services. Customer acknowledges that any data or information downloaded or otherwise obtained or acquired through the use of the services are at customer�s sole risk and discretion and Leads101 Inc. will not be liable or responsible for any damage or legal proceedings to customer or customers property.
  • Customer will not rely on any representation or warranty implied or expressed by any persons other than an authorized member of Leads101 Inc. with regards to Leads101 Inc. products and services.

3. RETURN POLICY

  • Leads101 Inc. Outbound service is a nonrefundable, non-returnable, non-exchangeable as it is a prepaid service. All purchases are final.
  • Leads101 Inc. Text Messaging service is a non-refundable, non-returnable and non-exchangeable as it is a prepaid marketing service. All purchases are final.
  • Leads101 Inc. Web Marketing services are non-refundable, non-returnable and non-exchangeable as it is a pre-paid marketing service. All purchases are final.

4. INDEMNIFICATION

  • Customer shall indemnify and hold harmless Leads101 Inc., its subsidiaries, its directors, officers, employees and agents from and against all liabilities, losses, costs, expenses, reasonable attorneys' fees, and any damages resulting from any negligent acts, omissions or willful misconduct by Customer, Customers use of the Services and any breach of the terms and conditions of this Agreement by Customer including any violation of this agreement by Customer or any other person using Customers account arising in any way out of your use of Leads101 Inc. website or Leads101.com including but not limited to any violation of any federal or state laws or regulations.

5. TERMINATION OF SERVICES OR MODIFICATION

  • During the term of this Agreement, Leads101 Inc. may modify or discontinue partial or all Services. Leads101 Inc. shall not be liable to the Customer or any third party for any reason for Leads101 Inc.'s modifying or terminating of any or all such Services. Leads101 Inc. reserves the right to modify, suspend or terminate; this website, services or any portion thereof; product offerings including any text based or Internet based services; at anytime and without notice to you. Leads101 Inc. will refund any payment made for services not yet provided under any terminated program, but is under no obligation to refund any funds for services which are either in the process; services which have been completed; or to provide future services for any services no longer offered by Leads101 Inc. and its subsidiaries.
  • In no event shall Leads101 Inc. be liable to any person or entity whatsoever for any direct, indirect, incidental, special, compensatory, consequential or punitive damages, or any damages whatsoever, including but not limited to; (1) loss of goodwill, profits, business interruption, technology, data or other intangible losses; (2) inability to use, unauthorized use of, performance or nonperformance of the Leads101 Inc. Services; (3) unauthorized access to, or tampering with, your personal information or transmissions via this website; (4) the provision or failure to provide a service; (5) errors or inaccuracies contained on the Leads101.com website or any information, third party links, third party services, products, or services represented on this website; (6) any transactions entered into through Leads101 Inc. or Leads101.com website; (7i) any property damage, including damage to your phones, computer or computer system caused by viruses or other harmful components during, or on account of, access to or use of the Leads101.com website or Leads101 Inc. services. The limitations of liability shall apply regardless of the form of action, whether based on contract, tort, negligence, strict liability or otherwise, even if Leads101 Inc. has been advised of the possibility of damages. Leads101 Inc. does not guarantee any response percentages, success percentages, closing of a sale, conversions, response on return on investment.

6. MODIFICATION TO AGREEMENT

  • Leads101 Inc. may automatically amend this Terms of Service Agreement at any time by (1) posting a revised agreement on the Leads101.com web site. Customer is responsible for frequently reviewing the Leads101.com Web site to obtain timely notice of such amendments. Subscribers will be deemed to have accepted these amended changes on Leads101.com. Please review this Agreement and any Additional Terms periodically for changes. Your continued use of the Leads101.com constitutes your acceptance and agreement to be bound by these changes without limitation, qualification or change. If at any time you do not accept these changes, you must immediately discontinue use of this Leads101 Inc. services and subsidiaries and Leads101.com website to which the changes may apply.

7. THIRD PARTY ADVERTISER

  • Subscribers may enter into transactions with advertisers on the Services.
  • Such transactions are between Subscriber and advertisers and Leads101 Inc. has no connection with any such transaction.
  • Leads101 Inc. assumes no liability for any such transactions.

8. Additional Terms and Conditions

  • In the event any portion of this Agreement shall be held illegal, void, or ineffective, the remaining portions hereof shall remain in full force and effect and such illegal, void or ineffective provisions shall be construed, as nearly as possible, to reflect the intentions of the parties.
  • This Agreement shall be construed in accordance with the laws of the State of New York without regard to its conflict of laws provisions. Leads101 Inc. and the individual Customer and, if applicable, the Customers company will submit to the jurisdiction of the State and Federal courts of New York.
  • Customer agrees and acknowledges that any breach of the provisions regarding ownership contained in this Agreement shall cause Leads101 Inc. irreparable harm and Leads101 Inc. may obtain injunctive relief as well as seek all other remedies available to Leads101 Inc. in law and in equity.

9. Copyright Notice

  • This website, its content, links, code and images are protected by U.S. Copyright Law and International Treaties; this site is registered with the United State Government. Duplication or Use of Content, Images or Code without the express written permission from an authorized owner of Leads101 Inc. is a Federal Offense
